Item 1.01 | Entry into a Material Definitive Agreement |
As previously announced, on February 28, 2021, PQ Group Holdings Inc. (the “Company”) entered into a Stock Purchase Agreement (the “Agreement”), as amended on June 24, 2021, with Sparta Aggregator L.P., a partnership established by Koch Minerals & Trading, LLC and Cerberus Capital Management, L.P. (the “Purchaser”), pursuant to which the Company will divest its Performance Chemicals business to the Purchaser (the “Transaction”).
On July 12, 2021, the Company and the Purchaser entered into the Amendment No. 2 to Stock Purchase Agreement (the “Amendment”) to (i) subject only to satisfaction or waiver of the conditions set forth in Article IX of the Agreement, agree on the anticipated timing for closing of the Transaction, and (ii) supplement and amend certain steps to be consummated as part of the Company’s pre-closing restructuring.
