Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 28, 2019, David Taylor, President, Performance Chemicals of PQ Group Holdings Inc. (the “Company”), resigned from the Company effective as of October 31, 2019. The Company expects to enter into a separation agreement with Mr. Taylor in connection with his resignation and will disclose the material terms of such agreement once finalized.
